5.1.0.0 Introduction and Definitions
Introduction and Definitions
- Purpose:
Welcome to CSVTRAX. These Terms of Service ("Terms") govern your access to and use of our platform, including any content, functionality, and services offered (the "Service"). By subscribing to or using our Service, you agree to these Terms in full. Please read them carefully.
Additional terms regarding your privacy (see section 5.6 Privacy and Data Security), limitations of liability (see section 5.7 Limitations of Liability), and subscription payments (see section 5.8 Subscription Fees and Payment) are detailed in the sections below.
Definitions
- "Service":
The CSVTRAX software platform and related systems that allow users to upload CSV files, execute data transformation jobs, and retrieve resulting output files. - "User" or "Subscriber":
Any individual or entity that creates an account, subscribes to, accesses, or otherwise uses the Service. - "Account":
The registered user profile and associated credentials that allow a User to access and use the Service. - "User Content":
Any files, data, or information uploaded, submitted, or processed by a User through the Service, including but not limited to Input Files and Output Files. - "Input Files":
CSV files or other data submitted by a User to the Service for processing through a Transformation Job. - "Output Files":
The resulting data files generated by the Service after a Transformation Job has been executed. - "Transformation Job":
A user-initiated processing task that applies a defined transformation configuration to Input Files in order to generate Output Files. - "Job Configuration":
The stored configuration created by a User that defines the transformation logic, rules, or parameters applied during a Transformation Job. - "Personal Data":
Any information relating to an identified or identifiable natural person as defined under applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR) where applicable. - "Data Size Units":
CSVTRAX measures data quantities using binary byte units. A byte (B) contains eight bits (b). A mebibyte (MiB) contains 1,048,576 bytes, and a gibibyte (GiB) contains 1,073,741,824 bytes. These binary units are different from decimal megabytes (MB) and gigabytes (GB), which are commonly defined as 1,000,000 and 1,000,000,000 bytes respectively. Accordingly, terms such as MB, Mb, MiB, GB, and GiB are not interchangeable. Where Subscription allotments, Usage quantities, or Usage charges are stated in MiB or GiB, the binary quantities govern. See section 5.8 Subscription Fees and Payment for the billing implications of these units. - "Payment Processor":
A third-party service provider responsible for processing payments related to the Service. CSVTRAX currently utilizes Stripe as its primary payment processor.
5.2.0.0 Eligibility and Account Registration
Eligibility and Account Registration
- Eligibility:
You must be at least eighteen (18) years of age and possess the legal capacity to enter into a binding agreement in order to use the Service. By registering for an account, you represent and warrant that you meet these eligibility requirements and that the information you provide during registration is accurate, complete, and current. - Account Registration and Responsibility:
You are responsible for maintaining the security and confidentiality of your account login credentials, and for all activities that occur under your account. You agree to use a strong password and to take reasonable steps to prevent unauthorized access to your account. You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations (see section 5.5 User Obligations and section 5.7 Limitations of Liability). - Acceptable Use and Conduct:
You agree to use the Service only for lawful purposes and in accordance with its intended functionality as described in these Terms and related documentation. You may not use the Service to engage in, promote, or facilitate any unlawful, fraudulent, harmful, abusive, or otherwise objectionable activity, including but not limited to activities that interfere with the normal operation of the Service or that attempt to harm CSVTRAX or other users. CSVTRAX reserves the right to suspend or terminate your account at any time if, in our sole discretion, we determine that your usage constitutes abuse, misuse, or poses an unacceptable risk to the integrity or availability of the Service (see section 5.9 Termination).
5.3.0.0 Service Description
Description of The Service
- Core Functionality:
The Service allows subscribers to upload CSV files ("Input Files") for the purpose of performing user-defined transformation processes ("Transformation Jobs"). Upon completion of a Transformation Job, subscribers may download the corresponding transformed results ("Output Files").
The Service is designed solely to facilitate the short-term processing of structured CSV data files. Both Input Files and Output Files are stored only temporarily and are automatically deleted in accordance with our 5.4 Data Storage and Retention policies. The Service does not provide permanent data storage or archival services, and you should not rely on the Service for the storage or preservation of your data. - Job Configurations:
Subscribers may create and manage persistent configuration data ("Job Configurations") which define the transformation logic applied to Input Files. Job Configurations are retained for the life of your active account, subject to the terms of this Agreement and our data retention practices (see section 5.9 Termination regarding the effects of account termination on data retention). We do not guarantee the permanent availability of any Job Configuration and reserve the right to modify or discontinue features related to Job Configurations as part of the ongoing evolution of the Service. - No Guarantee of Specific Results:
The Service is provided as a tool to assist you in performing data transformations on your Input Files. While we strive to ensure that the Service performs as intended, we do not guarantee that the results of any Transformation Job will be error-free, complete, or fit for any particular purpose (see section 5.7 Limitations of Liability). You are solely responsible for verifying the accuracy and suitability of any Output Files generated by the Service prior to using them in any downstream applications or processes.
5.4.0.0 Data Storage + Retention
Data Storage and Retention
- Short-Term File Retention:
The Service is designed as a data transformation tool and does not provide long-term data storage or archival services. Input Files and Output Files are stored temporarily and are automatically deleted in accordance with our 5.4.1 Invoice Retention Privacy Policy and other applicable data retention policies, which may vary by subscription tier. File retention periods are subject to change as part of the ongoing evolution of the Service.
The Service operates in accordance with industry-standard practices for Extract-Transform-Load (ETL) pipelines. As such, long-term retention of intermediate transformation artifacts is not provided or supported. Automatic deletion of Input and Output Files is an intentional and essential feature of the Service architecture and is necessary to maintain system performance, security, and operational integrity.
You are solely responsible for managing your own data lifecycle. You must maintain appropriate backups and archival copies of both your Input Files and any Output Files you wish to preserve outside the Service. CSVTRAX shall not be liable for any loss of data resulting from your failure to download and securely store your Output Files prior to their scheduled deletion (see section 5.7 Limitations of Liability). - Job Configurations:
Your Job Configurations — the persistent configuration data that defines how your Transformation Jobs operate — are stored as long as your account remains active and in good standing. You may create, modify, and delete your Job Configurations at any time through the Service interface.
While we strive to maintain the availability of your Job Configurations during the life of your account, we do not guarantee permanent or uninterrupted access to any specific configuration. We reserve the right to modify, migrate, or retire Job Configuration features as part of the ongoing development and maintenance of the Service. For information on the treatment of Job Configurations and other data upon account termination, see section 5.9 Termination.
5.4.1.0 Invoice Retention Privacy Policy
Invoice Retention Privacy Policy
Retention of Invoices and Financial Records
In accordance with applicable law, including the General Data Protection Regulation (GDPR), records of financial transactions — including invoices and related payment records (see section 5.8 Subscription Fees and Payment) — are maintained by our payment processor (Stripe), which acts as the primary processor of payment data on behalf of CSVTRAX.
These records are retained solely for the purpose of satisfying legal, tax, and accounting obligations, and to support legitimate business needs such as responding to payment disputes, audit requirements, or regulatory inquiries. The legal basis for this retention is established under Article 6(1)(c) and Article 6(1)(f) of the GDPR.
CSVTRAX does not directly process or store payment card data. Personally identifiable information (PII) contained within invoice records is limited to that which is required to process payments and generate lawful invoices. Such PII is never used by CSVTRAX for marketing, profiling, or any unrelated purpose.
Following termination of your account (see section 5.9 Termination), CSVTRAX will not itself maintain a full copy of your prior invoices. Stripe, as the payment processor, will continue to retain invoice and payment records in accordance with its legal obligations and data retention policies. Where applicable and feasible, any non-essential metadata associated with invoice records retained within CSVTRAX's systems may be anonymized or pseudonymized.
Financial records, including invoice records, are retained by Stripe and/or CSVTRAX for a period of up to 7 years, or such other period as required by applicable financial regulations and legal obligations. After this period, such records are automatically deleted or appropriately anonymized in accordance with applicable 5.4 Data Storage and Retention policies and applicable law.
5.5.0.0 User Obligations
User Obligations
- No Sensitive or Regulated Data:
You acknowledge and agree that the Service is not certified for the storage or processing of sensitive or regulated data. This includes, without limitation, any personal financial information, payment card data, health information, government-issued identification numbers, or any data subject to regulatory frameworks such as the General Data Protection Regulation (GDPR), Health Insurance Portability and Accountability Act (HIPAA), Payment Card Industry Data Security Standard (PCI-DSS), or any similar data protection or privacy laws (see section 5.7 Limitations of Liability).
You must not upload, submit, or otherwise process any such sensitive or regulated data using the Service. You further acknowledge that CSVTRAX disclaims any and all liability arising from your violation of this obligation or your decision to upload or process such data through the Service (see section 5.7 Limitations of Liability). - Compliance with Laws and Rights of Others:
You agree to use the Service only for lawful purposes and in compliance with all applicable laws, rules, and regulations (see section 5.6 Privacy and Data Security regarding our commitments and your responsibilities). You further agree that you will not use the Service to violate or infringe upon the rights of any third party, including intellectual property rights, privacy rights, or rights of publicity.
5.5.1.0 User Content Ownership and Rights
User Content Ownership and Rights
- User Ownership of Uploaded Data:
You retain all ownership rights to any data, files, or content that you upload, submit, or otherwise process through the Service ("User Content"). CSVTRAX does not claim ownership of your User Content. - Representation of Rights:
By uploading or processing any User Content through the Service, you represent and warrant that you own the data or possess all necessary rights, licenses, and permissions required to upload, process, and transform such data using the Service. - Prohibited Content:
You must not upload or process any data that:- violates any applicable law or regulation,
- infringes the intellectual property or privacy rights of any third party,
- contains unlawfully obtained personal information or confidential data, or
- otherwise exposes CSVTRAX to legal or regulatory risk.
- Right to Remove Content:
CSVTRAX reserves the right, but not the obligation, to remove, disable access to, or refuse to process any User Content that we reasonably believe may violate these Terms, applicable law, or the rights of any third party.
5.6.0.0 Privacy and Data Security
Privacy and Data Security
- No AI Processing of User Content.
CSVTRAX does not submit User Content — including Input Files, Output Files, CSV field values, records, or intermediate Transformation Job data — to AI, Large Language Model, generative-AI, machine-learning inference, or similar external content-processing services. See 5.6.3 No AI or External Content Processing of User Content. - Data Protection Measures:
We implement appropriate technical and organizational measures designed to protect the data you upload and process through the Service. These measures include the use of HTTPS encryption for data in transit and other security controls designed to safeguard against unauthorized access, disclosure, or misuse.
However, no method of transmission over the Internet or method of electronic storage is completely secure. While we strive to protect your data, we cannot guarantee absolute security.
In alignment with our Service architecture, Input Files are not subject to encryption at rest, as this is a deliberate design choice intended to balance security with performance for high-throughput data processing. Input Files are stored on our servers for only a short duration and are subject to automatic deletion in accordance with our 5.4 Data Storage and Retention policies. You are solely responsible for ensuring that you do not upload sensitive or regulated data to the Service, as outlined in the 5.5 User Obligations section of these Terms. - Privacy Policy:
For information regarding how we collect, use, and safeguard personal data, please refer to our 5.6.2 Privacy Policy, which is incorporated by reference into these Terms. - User Content and Artificial Intelligence:
The Service's specific contractual commitment not to submit User Content to AI or external application-level content processors is stated in 5.6.3 No AI or External Content Processing of User Content.
5.6.1.0 Cookie Policy
Cookie Policy
- This Cookie Policy explains how we use cookies in connection with the Service, in compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR) and similar laws in other jurisdictions (see section 5.6.2 Privacy Policy for broader data protection practices).
- We use cookies only where necessary to provide the core functionality of our Service (see section 5.3 Description of the Service). Specifically, our Service uses cookies solely to manage authenticated user sessions (see section 5.5 User Obligations regarding your responsibility for securing your account). We use a session cookie to securely store and transmit session-related information (such as JSON Web Tokens, or JWTs) required to maintain your authenticated access to your account during your interaction with the Service.
- Our session cookie is configured with Secure, HttpOnly, and SameSite attributes to help ensure that session data is protected in accordance with security best practices.
- We do not use cookies for analytics, marketing, behavioral tracking, advertising, or profiling. We do not use third-party cookies of any kind. The Service uses only a first-party session cookie necessary for core Service functionality.
- You may configure your browser to block cookies; however, please note that if you disable cookies, you will not be able to access or use features of the Service that require authentication and secure session management.
- We will update this Cookie Policy if our use of cookies changes in the future. If we make any material changes, we will provide notice in accordance with applicable data protection laws and seek renewed consent where required (see section 5.6.2 Privacy Policy).
5.6.2.0 Privacy Policy
Privacy Policy
- Types of Data Collected:
We collect certain personal data and technical data in connection with your use of the Service. This includes data you provide during account registration (such as your email address), data generated through your use of the Service (such as usage logs and file processing events), and data provided when communicating with us (such as support inquiries). - Purpose of Data Processing:
We process personal data to provide and operate the Service, manage your account, process payments, communicate with you regarding your account and the Service, improve the functionality and security of the Service, and comply with legal obligations. - Data Controller and Data Processor Roles:
For purposes of applicable data protection laws, including the General Data Protection Regulation (GDPR):- You, the subscriber or user of the Service, act as the Data Controller for any personal data contained in files you upload or process using the Service.
- CSVTRAX acts as a Data Processor solely for the purpose of performing the data transformation services requested by you. CSVTRAX performs those transformations within its own application processing path and does not delegate User Content to AI or external application-level content processors.
- Stripe acts as an independent Payment Processor responsible for the processing and storage of payment information.
You remain solely responsible for ensuring that you have a lawful basis for collecting, uploading, and processing any personal data through the Service. - Legal Basis for Processing:
Our legal basis for processing personal data is typically your consent, performance of a contract (providing the Service to you), compliance with legal obligations, and our legitimate interests in operating and improving the Service. - Data Sharing with Third Parties:
We do not sell your personal data. We may share account, payment, technical, or other personal data with trusted service providers who assist us in operating the Service (such as payment processors and infrastructure providers), but only to the extent necessary to provide the Service and subject to appropriate contractual safeguards.
User Content is subject to a narrower processing rule. CSVTRAX does not submit User Content — including Input Files, Output Files, CSV field values, records, or intermediate Transformation Job data — to AI, Large Language Model, generative-AI, machine-learning inference, or similar external application-level content-processing services for transformation, analysis, inference, training, model improvement, enrichment, classification, or summarization. See 5.6.3 No AI or External Content Processing of User Content. - International Data Transfers:
If you access the Service from outside the United States, you acknowledge and agree that your personal data may be transferred to, stored in, and processed in the United States or other jurisdictions where we or our service providers operate. - Data Retention:
We retain personal data only for as long as necessary to fulfill the purposes for which it was collected, to comply with legal obligations, to enforce our rights, or as otherwise described in these Terms. - User Rights:
Depending on your jurisdiction, you may have certain rights regarding your personal data, including the right to access, correct, delete, or restrict its processing. - Scope of This Privacy Policy:
This section constitutes the complete Privacy Policy governing the collection, processing, storage, and protection of personal data in connection with the Service. The provisions of this section should be read together with related sections of these Terms, including 5.4 Data Storage and Retention, 5.5 User Obligations, 5.6 Privacy and Data Security, and 5.6.3 No AI or External Content Processing of User Content, which collectively describe how CSVTRAX handles personal, operational, and User Content data.
5.6.3.0 No AI or External Content Processing of User Content
No AI or External Content Processing of User Content
- CSVTRAX User Content Guarantee:
CSVTRAX does not submit User Content to Artificial Intelligence (AI), Large Language Model (LLM), generative-AI, machine-learning inference, or similar external content-processing services. - Covered User Content:
This guarantee applies to User Content as defined in these Terms, including Input Files, Output Files, CSV field values and records, and intermediate record or field values produced while a Transformation Job is executing. - No AI Processing, Training, or Inference:
CSVTRAX will not transmit covered User Content to an AI, LLM, generative-AI, machine-learning inference, or similar external content-processing service for transformation, analysis, inference, training, model improvement, enrichment, classification, summarization, or any comparable content-processing purpose. - Self-Contained Transformation Processing:
Transformation Jobs are performed by CSVTRAX application code and the user-configured transformation machinery within the CSVTRAX Service. CSVTRAX does not delegate the substantive transformation of User Content to an external AI or third-party application service. - No Sale or AI Reuse of User Content:
CSVTRAX does not sell User Content and does not provide User Content to an AI provider for provider training, model improvement, evaluation, or reuse. - Operational Service Providers:
This User Content guarantee does not alter the separate disclosures in the Privacy Policy concerning providers used to operate the Service, including infrastructure providers, or the independent Payment Processor used for billing. Those providers are not engaged by CSVTRAX as AI or external application-level content-analysis services to perform Transformation Jobs on User Content. Payment processing does not require CSVTRAX to provide Input File or Output File contents to the Payment Processor. - Security Boundary of This Guarantee:
This section states CSVTRAX's authorized application-processing design and contractual handling of User Content. It does not replace the separate security limitations stated in 5.6 Privacy and Data Security, including the acknowledgement that no Internet transmission or electronic storage system can be guaranteed absolutely immune from unauthorized access or a security incident.
5.7.0.0 Limitations of Liability
Limitations of Liability
- Service Availability:
The Service may be temporarily unavailable, interrupted, or limited due to maintenance, updates, system enhancements, network failures, or other factors beyond our reasonable control. We do not warrant or guarantee uninterrupted access to the Service or that the Service will be error-free or continuously available (see section 5.3 Description of the Service for further information regarding the nature and scope of the Service). - Disclaimer of Warranties:
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of results. We make no representation or warranty that the Service will operate without loss of data, errors, or interruptions, or that the results of file transformations will be accurate, reliable, or fit for any particular use. - User Responsibility for Data:
You are solely responsible for all data, content, and information you upload to, submit through, or process using the Service. You must not upload or process any data that is subject to special legal or regulatory requirements, including but not limited to data governed by PCI-DSS, HIPAA, SOC-2, GLBA, or similar data protection frameworks. The Service is not certified or intended for processing such regulated data, and any use of the Service for such purposes is strictly prohibited and entirely at your own risk, as further described in the 5.5 User Obligations section of these Terms. - Compliance with Applicable Law:
You represent and warrant that your use of the Service will comply with all applicable laws, including applicable data protection and privacy laws (such as the General Data Protection Regulation (GDPR), where applicable — see 5.6.2 Privacy Policy). You acknowledge that CSVTRAX acts solely as a processor of any personal data you upload or process using the Service, and that you remain solely responsible for ensuring the lawful collection and processing of such data in accordance with applicable legal requirements. - Limitation of Liability:
To the fullest extent permitted by applicable law, in no event shall CSVTRAX, its affiliates, directors, officers, employees, agents, licensors, or service providers be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, data, goodwill, or other intangible losses, whether arising in contract, tort, negligence, strict liability, or otherwise, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages. - Cap on Liability:
To the fullest extent permitted by applicable law, our total aggregate liability to you for any and all claims arising out of or relating to the Service or these Terms shall not exceed the greater of (a) one hundred U.S. dollars (USD $100) or (b) the total amount of fees actually paid by you to us for the Service in the twelve (12) month period immediately preceding the event giving rise to the claim (see section 5.8 Subscription Fees and Payment).
5.7.1.0 Force Majeure
Force Majeure
- CSVTRAX shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay results from events beyond our reasonable control.
- Such events may include, but are not limited to: natural disasters, acts of government, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, cloud infrastructure outages, distributed denial-of-service (DDoS) attacks, or other unforeseen operational disruptions.
- During the duration of any such event, CSVTRAX's obligations under these Terms shall be suspended to the extent reasonably necessary until the event has been resolved and normal operations can resume.
5.7.2.0 Indemnification
Indemnification
Indemnification
You agree to indemnify, defend, and hold harmless CSVTRAX, its officers, directors, employees, agents, and service providers from and against any claims, damages, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to:
- your use of the Service,
- your violation of these Terms,
- your violation of any applicable law, or
- any User Content uploaded or processed through the Service.
5.8.0.0 Fees + Payment
Subscription Fees and Payment
- Subscription Billing and Automatic Renewal:
The Service is provided on a subscription basis. You agree to pay the applicable subscription fees for your selected plan in accordance with the billing cycle you select at the time of purchase. Unless you cancel your subscription prior to the end of the current billing cycle, your subscription will automatically renew at the then-current subscription rate applicable to your plan. You authorize us (and our payment processor) to charge your payment method on file for all applicable subscription fees, usage charges, and any applicable taxes.
For instructions regarding subscription cancellation, please refer to section 5.9 Termination.
All payments are non-refundable, except as required by applicable law.
By subscribing to the Service, you authorize CSVTRAX and its payment processor (Stripe) to retain your designated primary payment method on file and to charge it for all subscription renewals, usage overages, and other authorized charges, including off-session billing events. These charges may be initiated without direct re-authentication, as permitted by your prior authorization and in accordance with applicable card network rules. - Billing Cycle Schedule:
CSVTRAX currently offers Monthly and Yearly payment plans across its three subscriber tiers: Bronze, Silver, and Gold. Invoicing occurs on the following schedule:
| Subscription Tier Level | Invoice Cycle Type | Invoicing Date |
|---|
| Bronze Tier | Monthly | 4th |
| Bronze Tier | Yearly | 5th |
| Silver Tier | Monthly | 6th |
| Silver Tier | Yearly | 7th |
| Gold Tier | Monthly | 8th |
| Gold Tier | Yearly | 9th |
- Billing Implications of Binary Data Size Units:
Data-size quantities used for Subscription allotments, Usage measurement, and applicable Usage charges are calculated using binary byte units. When a Pricing term is stated in mebibytes (MiB), one MiB equals 1,048,576 bytes. When stated in gibibytes (GiB), one GiB equals 1,073,741,824 bytes. These are larger quantities than the similarly named decimal megabyte (MB) and gigabyte (GB).
This distinction applies both to included data-size allotments and to any Usage charge denominated in those units. For the same numeric quantity, a binary MiB or GiB represents more bytes than the corresponding decimal MB or GB. Accordingly, where a published allotment or overage rate is expressed in MiB or GiB, the Subscriber receives the larger binary quantity for that numeric unit count.
Current prices, Tier-specific allotments, and metric-specific charging rules are published in the Pricing documentation. The definitions of these data-size units are also stated in section 5.1 Introduction and Definitions. - Usage Charges and Overages:
Each subscription tier includes defined Usage allotments (similar to "in-plan" allowances). The applicable measurement period depends on the Usage metric. Field Operations and Disk Space follow their published billing-period rules. Network Egress is measured against a separate daily allotment using the UTC calendar day.
Where a paid Usage metric permits overage, Usage above its included allotment may incur additional charges ("Exceeded Plan Usage") in accordance with the published Pricing terms and the applicable invoice workflow. Network Egress excess is priced per MiB above the daily included allotment, up to the independent daily Hard Limit. Free Trial does not offer billable Network Egress excess.
Usage allotments do not carry forward beyond the period that governs the respective metric. For limitations of liability applicable to such charges, please refer to section 5.7 Limitations of Liability.
Usage charges and overages may apply to defined usage metrics including Field Operations, Disk Space Usage, and Network Egress (Download Bandwidth), as described on the Pricing pages. Temporary safety restrictions and Hard Limits may separately prevent operations that would exceed the applicable operational limit. - Adhoc and Out-of-Cycle Charges:
While our normal billing process is automated and aligned with the defined billing cycles, we reserve the right to process adhoc or out-of-cycle charges when necessary to resolve billing issues, account payment irregularities, or other account-specific adjustments. These occurrences are expected to be infrequent and will typically be coordinated with you prior to processing.
By maintaining an active subscription, you agree that your authorized payment method may be used for such out-of-cycle charges when necessary, even if you are not actively logged in at the time of billing.
For limitations of liability applicable to any such charges, please refer to section 5.7 Limitations of Liability.
5.8.1.0 Credit/Refund Policy
Account Credit / Refund Policy
Account Credit and Refund Policy
When a subscriber changes from a higher-cost subscription tier to a lower-cost tier — for example, from a GOLD Annual Plan to a GOLD Monthly Plan — the Service automatically evaluates the unused portion of the original pre-paid subscription and issues an Account Credit to the subscriber's account.
Account Credits are internal billing adjustments and do not constitute a refund of the original payment. They are applied automatically to offset future invoices, including subscription fees and usage-based charges, until fully utilized or expired as provided in these Terms.
We do not offer monetary refunds of original subscription payments, except where required by applicable law. By using the Service and maintaining an active account, you acknowledge and agree to this refund policy.
For example, if a user pays $50.00 for a 12-month annual plan and downgrades after the first month to a monthly plan costing $8.00, they would receive a $42.00 Account Credit. This credit would automatically offset future charges until depleted. After applying one month of usage and subscription charges totaling $20.00, the user would still have a $22.00 Account Credit remaining.
Important Notes:
- Account Credits are not refundable or redeemable for cash or any form of monetary refund. They are retained on the account and applied to future charges while the account remains active.
- Chargebacks and disputes related to Account Credits are not supported. Account Credits represent internal billing adjustments applied to your account for future Service usage and do not constitute refundable monetary balances. Accordingly, Account Credits may not be disputed through credit card chargebacks or similar payment reversal mechanisms.
- Account Credits are fully visible within your subscriber dashboard and applied automatically. No subscriber action is required to use them.
- We reserve the right to adjust or expire Account Credits in cases of account cancellation, material violation of these Terms, or other misuse of the Service.
We encourage subscribers to treat Account Credits as a flexible billing adjustment for future Service use — not as a direct refund mechanism — and to plan subscription tier changes accordingly.
5.8.2.0 Chargebacks and Payment Disputes
Chargebacks and Payment Disputes
- Payment Disputes:
If you believe that a billing error has occurred, you must contact CSVTRAX support prior to initiating a chargeback or payment dispute through your financial institution. - Chargeback Consequences:
If a chargeback or payment dispute is initiated for any subscription fee, usage charge, or other authorized payment, CSVTRAX reserves the right to immediately suspend or terminate access to the Service associated with the account until the dispute has been fully resolved. - Recovery of Disputed Fees:
If a chargeback is resolved in favor of CSVTRAX, we reserve the right to recover any associated costs, fees, or administrative expenses incurred as a result of the chargeback process to the fullest extent permitted by law.
5.9.0.0 Termination
Termination
- Termination by User:
You may terminate your account at any time by following the account cancellation procedures provided within the Service. Termination of your account does not relieve you of your obligation to pay any outstanding fees or charges incurred prior to termination. For details on applicable subscription fees and charges, please refer to section 5.8 Subscription Fees and Payment. - Termination or Suspension by CSVTRAX:
We reserve the right, in our sole discretion, to suspend or terminate your access to the Service at any time, with or without notice, for any reason or no reason, including but not limited to if we believe that you have violated these Terms, engaged in fraudulent, abusive, or unlawful use of the Service, posed a legal or regulatory risk to us or other users, or otherwise created an unacceptable risk to the operation, integrity, or security of the Service. - Effect of Termination:
Upon termination of your account, your right to access and use the Service will immediately cease. We will have no obligation to maintain or provide access to your account data following termination, except as required by applicable law or as described in our 5.6.2 Privacy Policy and 5.4 Data Storage and Retention.
Any Account Credits, if applicable, will be treated in accordance with our Account Credit and Refund Policy. To the fullest extent permitted by applicable law, we shall not be liable to you or any third party for any suspension or termination of your account or your access to the Service. - Data Retention and Deletion:
Upon termination of your account, all User Data associated with your account — including uploaded Input Files, any processed Output Files, and all Job Configurations — will be permanently deleted from the Service in accordance with our internal data lifecycle and deletion policies, as described in section 5.4 Data Storage and Retention, except as otherwise required by applicable law.
Following termination, we may retain your account email address in a separate internal system solely for the purpose of enforcing Free Trial eligibility and preventing misuse of Free Trial offers. No other User Data or personal data will be retained post-termination, except as required by applicable law, or as described in section 5.4.1 Invoice Retention Privacy Policy.
5.10.0.0 Governing Law
Governing Law
- Governing Law and Jurisdiction:
These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law rules or principles that would cause the application of the laws of any other jurisdiction. - Venue for Disputes:
Except for disputes that are subject to binding arbitration as described in Section 5.10.1.0 (Arbitration and Class Action Waiver), any legal action or proceeding arising under or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Travis County, Texas. - Global Use and Cross-Border Data Transfers:

5.10.1.0 Arbitration and Class Action Waiver
Arbitration and Class Action Waiver
Arbitration and Class Action Waiver
Except where prohibited by applicable law, the parties agree that binding arbitration shall be the exclusive method for resolving disputes arising out of or relating to these Terms or the use of the Service.
To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service shall be resolved through binding individual arbitration rather than through court proceedings.
Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Travis County, Texas, unless otherwise agreed by the parties.
You and CSVTRAX agree that any arbitration will be conducted solely on an individual basis and not as part of a class, collective, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against CSVTRAX.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
